Terms Of Use

TERMS OF USE & CONDITIONS OF SALE

Article 1 – GENERAL PROVISIONS – SCOPE

1.1

These Terms and Conditions of Sale (the “Terms”) govern the rights and obligations of the parties in connection with the online sale of products offered through www.calyzia.com (the “Website”).

1.2

Any order placed through www.calyzia.com constitutes the Customer’s prior and unrestricted acceptance of these Terms and Conditions of Sale, which are governed by French law. These Terms therefore form an integral part of the Contract between the Customer and the Company. They are fully binding upon the Customer, who acknowledges having read and accepted them without restriction or reservation before placing an order.

1.3

These Terms apply to any order placed by an individual of legal age acting as a consumer. The Customer therefore represents that they are at least 18 years old and are acting for purposes unrelated to any commercial, industrial, professional, agricultural, or self-employed activity. The Customer acknowledges having full legal capacity to enter into a binding agreement when placing an order and agrees to provide accurate information regarding their identity.

1.4 – EXCLUSION

These Terms expressly do not apply to persons acting in a professional capacity, meaning individuals or legal entities, whether public or private, acting for purposes related to their commercial, industrial, professional, or agricultural activities, including when acting on behalf of or for another professional.

Professionals wishing to place an order with the Company are invited to contact us directly.

1.5

The Terms applicable to each order are those in effect on the date the order is paid, or on the date of the first payment in the case of multiple payments.

The Company reserves the right to modify these Terms at any time by publishing an updated version on the Website. The current Terms are available on the Company’s Website at calyzia.com and may be downloaded in PDF format.

Article 2 – CONCLUSION OF THE CONTRACT ONLINE

2.1 – Order Process

To purchase one or more Products on the Website, the Customer selects each Product and adds it to their shopping cart. Once their selection is complete, the Customer reviews and confirms their cart to proceed with the order.

At this stage, the Customer is redirected to a page containing:

  • A summary of the selected Products, their corresponding prices, and available payment methods. The Customer is responsible for reviewing and, if necessary, correcting the contents of their cart.

  • These Terms and Conditions of Sale. The Customer is responsible for reading them carefully before confirming the order.

Confirmation of the order after reviewing the cart and accepting these Terms constitutes the conclusion of the Contract. The Customer acknowledges that placing the order creates an obligation to pay.

The Customer is then redirected to the payment page, where they may select one of the available payment methods and complete payment for their order.

After confirming the order and completing payment, the Customer receives an order confirmation at the email address provided when placing the order.

This confirmation includes:

  • A summary of the order, including the Products selected, prices, and applicable shipping costs;

  • The order number;

  • Information regarding cancellation, withdrawal, and applicable procedures;

  • A copy of these Terms and Conditions of Sale in PDF format, where applicable.

If the Customer does not receive an order confirmation, they are encouraged to contact the Company through the contact form available on the Website or by emailing support@calyzia.com.

The Customer will subsequently receive an electronic purchase invoice, which the Customer expressly accepts.

Customers are strongly advised to retain their order confirmation and electronic invoice, as these documents may serve as evidence of the Contract.

2.2 – Reasons for Refusing an Order

The Company reserves the right to refuse an order for any legitimate reason, including:

  • The order does not comply with these Terms;

  • The quantities ordered appear inconsistent with normal consumer use;

  • A previous order remains unpaid or a dispute concerning a previous order is ongoing;

  • The Company has reasonable grounds to suspect fraudulent activity.

Article 3 – PRODUCT SPECIFICATIONS AND AVAILABILITY

3.1 – Product Specifications

The essential characteristics and prices of the Products are made available to Customers on the Company’s Website, together, where applicable, with information concerning the use of the Product.

Although the Company makes reasonable efforts to ensure that Product specifications are accurate, certain specifications are provided by the Company’s suppliers. Accordingly, the Company cannot be held responsible for any errors that may appear in such specifications, except where required by applicable law.

Product specifications are provided in detail on the Website. Unless otherwise expressly stated, illustrations, videos, and photographs of Products offered for sale are provided for informational purposes only and do not constitute contractual representations.

The validity period of Product offers and their prices is indicated on the Website where applicable.

3.2 – Product Availability

Product offers are subject to availability from our suppliers. Product availability is generally indicated on the relevant Product page.

However, because the Company does not reserve inventory, except for Products specifically identified as pre-orders, adding a Product to the shopping cart does not absolutely guarantee its availability or price.

If a Product becomes unavailable after the Customer’s order has been confirmed, the Company will notify the Customer by email as soon as possible.

The unavailable Product will be cancelled and the Company will refund the amount paid for that Product, together with any other amounts paid specifically in connection with that Product.

If the order contains other Products that remain available, those Products will be shipped to the Customer. Shipping charges will not be refunded where the remaining Products are shipped separately.

Article 4 – PRODUCT PRICES

4.1 – Reference Prices Displayed on the Website

Where a reference price is displayed, it may correspond to a price recommended by the brand, manufacturer, or authorized representative. Where no recommended price is available, the reference price may be determined based on prices at which the Product is commonly offered by a selection of retailers.

Reference prices may be updated when the brand, manufacturer, authorized representative, or relevant retailers update their pricing.

4.2 – Changes to Prices

Product prices are displayed on the relevant Product pages.

The Company reserves the right to modify Product prices at any time, subject to applicable laws.

Products will be charged based on the price displayed on the Website at the time the Customer confirms the order.

4.3 – Product Prices

Because some Products may be imported internationally at the Customer’s request, prices displayed on the Website may, where applicable, be exclusive of certain taxes, customs duties, import charges, or shipping fees unless otherwise stated.

The applicable price is clearly displayed during the ordering process.

Unless otherwise stated, Product prices do not necessarily include import VAT, customs duties, local taxes, or other import charges that may be imposed by the destination country.

Any such charges, where applicable, may be payable by the Customer as the importer or recipient of the Product.

Product prices may also exclude specific packaging, handling, shipping, transportation, insurance, or delivery charges unless these are expressly included in the final price displayed at checkout.

4.4 – Payment of Taxes and Import Charges

The Customer may be responsible for declaring and paying any applicable import VAT, customs duties, import taxes, or other local charges imposed by the destination country.

The Company does not control the amount or application of such charges and cannot guarantee whether they will apply to a particular order.

For Products shipped internationally, applicable customs duties, import taxes, or other local charges may be collected by customs authorities or the local carrier.

Customers are encouraged to check with their local customs or tax authorities regarding any potential charges before placing an order.

Article 5 – PAYMENT

5.1 – Payment Timing

Full payment for the order is due immediately after the order has been confirmed.

In exceptional circumstances, the Company may offer an installment payment option, depending on the order amount and other relevant circumstances. The Company is under no obligation to provide such payment arrangements.

Customers wishing to request a special payment arrangement may contact Customer Service at support@calyzia.com.

5.2 – Payment Methods

Customers may choose from the payment methods available at checkout.

Payment by Credit or Debit Card

We accept major international payment cards, including Visa, MasterCard, American Express, and Maestro, where available.

The Customer represents that they are authorized to use the payment card provided.

Payment card transactions are processed through secure payment providers. Where Stripe is offered as a payment method, payments are processed through Stripe’s secure payment infrastructure.

Payment via PayPal

Payment through PayPal may be available depending on the Customer’s location and order.

Where PayPal is used, PayPal’s own Terms of Service also apply to the transaction.

Gift Cards and Promotional Codes

Gift cards and promotional codes issued by the Company may be used to pay for all or part of an order, subject to their applicable terms and conditions.

Unless otherwise stated, promotional codes and gift cards may be subject to one-time use, expiration dates, or other restrictions.

In the event of suspected fraudulent use, the Company reserves the right to cancel the affected order.

Apple Pay, Google Pay and Other Payment Services

Apple Pay, Google Pay, and other payment services may be available depending on the Customer’s country, device, browser, and other eligibility requirements.

Where such services are used, their respective terms and conditions also apply.

In general, if payment authorization is declined by the relevant payment provider, or if payment is not completed, the Company reserves the right to suspend or cancel the order.

The Company may suspend or remove any payment method at any time, including where a payment provider discontinues the relevant service or where there is an unresolved dispute relating to a previous order.

The Company may also implement order verification procedures to help prevent unauthorized use of payment information.

In certain circumstances, the Customer may be asked to provide additional information or documentation necessary to verify the order. Any information requested will be limited to what is reasonably necessary for verification and will be handled in accordance with the Company’s Privacy Policy and applicable law.

An order may only be processed after the required verification has been completed.

Article 6 – SHIPPING – CUSTOMS – DELIVERY

6.1 – Shipping

Before confirming an order, the Customer is provided with information regarding the available shipping methods and their applicable costs.

After the Customer selects a shipping method, an estimated delivery timeframe will be provided.

The Company will make reasonable efforts to ensure that Products are delivered within the estimated timeframe. If a significant delivery issue occurs, the Company will make reasonable efforts to inform the Customer and seek an appropriate solution.

Shipping, transportation, and delivery costs may be charged to the Customer. Where applicable, such costs will be clearly displayed during checkout.

Customs duties, import taxes, and other destination-country charges are generally not included unless expressly stated at checkout.

Depending on the available shipping method, delivery will be made to the address provided by the Customer or, where available, to a pickup location selected by the Customer.

The Customer is responsible for ensuring that all delivery information is accurate and complete. The Company cannot be held responsible for delivery failures resulting from incorrect, incomplete, or inaccessible delivery information provided by the Customer.

6.2 – Customs Clearance

For international orders, the Customer may be considered the importer of the Product in the destination country.

The Customer may therefore be responsible for complying with local import and customs requirements.

Depending on the destination country, order value, Product type, and applicable regulations, customs duties, import taxes, or other charges may be imposed.

These charges are not controlled by the Company and, unless expressly stated otherwise, are the responsibility of the Customer.

The Customer is responsible for any required customs declarations and payments to the relevant authorities.

6.3 – Delivery Inspection

Upon receiving the Product, the Customer is encouraged to verify that the Product is complete and has not been damaged during transportation.

If the Customer notices an issue, they should contact Customer Service at support@calyzia.com as soon as possible after delivery and provide relevant details, including photographs where appropriate.

Article 7 – RIGHT OF WITHDRAWAL

7.1 – Principle and Time Limit

Where applicable under mandatory consumer protection laws, the Customer may have the right to withdraw from the purchase without providing a reason within fourteen (14) calendar days from the date of receipt of the order.

For orders containing multiple Products delivered separately, the withdrawal period may begin upon receipt of the final Product, where required by applicable law.

Where the right of withdrawal applies and is exercised within the applicable period, the purchase price of the returned Product(s) and applicable standard delivery charges will be refunded, while return shipping costs may remain the responsibility of the Customer, subject to applicable law.

7.2 – Exclusions

Where applicable, the right of withdrawal may not apply to certain categories of Products or circumstances, including:

  • Goods or services whose price depends on financial market fluctuations beyond the Company’s control;

  • Products made according to the Customer’s specifications or clearly personalized Products;

  • Goods that are liable to deteriorate or expire rapidly;

  • Sealed goods that have been unsealed after delivery and cannot be returned for reasons of hygiene or health protection;

  • Goods which, after delivery, have been inseparably mixed with other items;

  • Certain alcoholic beverages subject to legally defined conditions;

  • Urgent maintenance or repair services specifically requested by the consumer;

  • Sealed audio or video recordings or computer software that have been unsealed after delivery;

  • Newspapers, periodicals, or magazines, except subscription contracts;

  • Contracts concluded at public auctions;

  • Any other Products or services excluded by applicable law.

7.3 – Exercising the Right of Withdrawal

To exercise a right of withdrawal, where applicable, the Customer must notify the Company of their decision within the applicable withdrawal period by completing the relevant withdrawal/return form or by sending a clear and unambiguous statement expressing their decision to withdraw.

Where required by applicable law, the Customer must return the Product within fourteen (14) days following notification of the withdrawal decision.

Unless otherwise required by applicable law, return shipping costs are the responsibility of the Customer.

Products should be returned in their original condition and, where applicable, complete with their packaging, accessories, instructions, and other included items.

Products that have been used beyond what is necessary to establish their nature, characteristics, and functionality may be subject to a reduction in the refund amount where permitted by applicable law.

Where a valid withdrawal applies, the Company will refund the applicable amounts within the period required by law.

The refund will generally be made using the same payment method used for the original transaction, unless otherwise agreed with the Customer or required by applicable law.

Where payment was made using a gift card or promotional code, the refund may be issued using the same method, subject to the applicable terms and applicable law.

Article 8 – WARRANTIES

8.1 – Legal Warranties

The Company remains responsible for applicable mandatory legal warranties and consumer protection rights in accordance with the laws applicable to the Customer’s purchase.

Nothing in these Terms is intended to exclude or limit any mandatory statutory rights that cannot legally be excluded or limited.

Where French consumer law applies, the Customer may benefit from the legal guarantee of conformity and the legal guarantee covering hidden defects under the applicable provisions of the French Consumer Code and Civil Code.

These legal warranties apply independently of any additional commercial or manufacturer warranty.

8.2 – Manufacturer's Warranty

Certain Products sold on the Website may benefit from a contractual warranty provided by the Product’s manufacturer or supplier.

Where applicable, the existence and conditions of such a warranty will be indicated on the relevant Product page or accompanying documentation.

Customers wishing to make a warranty claim should contact Customer Service at support@calyzia.com.

The Customer should also review the manufacturer’s warranty terms, which may be included with the Product.

Any manufacturer’s warranty does not affect mandatory legal rights and warranties that apply to the Customer under applicable law.

Article 9 – PERSONAL DATA PROTECTION

As part of the commercial relationship, the Company, acting as the data controller where applicable, collects certain personal information necessary to process orders, manage customer relationships, conduct analytics, and comply with legal and regulatory obligations.

Such information may include the Customer’s name, email address, billing address, shipping address, telephone number, and other information required to process the order.

Personal data may be retained for the periods required by applicable law and the Company’s Privacy Policy.

Failure to provide information that is necessary to process an order may prevent the Company from fulfilling the order.

Personal information is primarily used for the Company’s legitimate business purposes and may be shared with service providers involved in fulfilling the order, including payment processors, shipping providers, logistics companies, technology providers, and customer service providers.

Depending on applicable law, Customers may have rights regarding their personal data, including:

  • The right to access their personal information;

  • The right to request correction of inaccurate or incomplete information;

  • The right to request deletion of personal information where legally applicable;

  • The right to request restriction of processing in certain circumstances;

  • The right to object to certain types of processing, including direct marketing;

  • The right to withdraw consent where processing is based on consent;

  • The right to data portability where applicable;

  • The right to lodge a complaint with the relevant data protection authority.

To exercise applicable data protection rights, Customers may contact the Company at:

support@calyzia.com

Customers may also use the contact form available on the Website.

Additional verification information may be requested where reasonably necessary to verify the identity of the person making the request.

Requests will be handled within the timeframes required by applicable law.

For more information, please refer to CALYZIA’s Privacy Policy.

Article 10 – INTELLECTUAL PROPERTY RIGHTS

Unless expressly stated otherwise on a Product page, the sale of Products through the Website does not result in any transfer of intellectual property rights relating to the Products sold.

The Company’s trademarks, domain names, products, software, images, videos, text, designs, and other materials protected by intellectual property rights remain the exclusive property of the Company or their respective owners.

No transfer or assignment of intellectual property rights is made under these Terms.

Article 11 – FORCE MAJEURE

The Company shall not be held responsible for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond its reasonable control, including events of force majeure.

Such circumstances may include natural disasters, severe weather, war, terrorism, strikes, government actions, pandemics, transportation disruptions, supply chain disruptions, customs delays, or failures of third-party service providers.

The Company will make reasonable efforts to notify the Customer of any significant event affecting the performance of an order.

Article 12 – LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, the Company shall not be responsible for losses or damages resulting from improper, unauthorized, or negligent use of the Product by the Customer, including unauthorized modifications or alterations to the Product.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

Article 13 – ACCOUNT SUSPENSION OR TERMINATION

The Company reserves the right to suspend or terminate a Customer account where the Customer violates these Terms, applicable laws, or other Website policies.

Such action may be taken without prejudice to any other rights or remedies available to the Company under applicable law.

A person whose account has been suspended or terminated may not create another account or place subsequent orders through the Website without the Company’s prior authorization, where permitted by applicable law.

Article 14 – RECORD KEEPING AND EVIDENCE

Unless proven otherwise, electronic records maintained by the Company may constitute evidence of transactions between the Company and the Customer, to the extent permitted by applicable law.

For each order, an order confirmation may be sent to the Customer by email and relevant transaction records may be retained in the Company’s systems.

Communications, order information, payment records, invoices, and other relevant transaction data may be stored electronically for a reasonable period and in accordance with applicable legal requirements and the Company’s Privacy Policy.

Such electronic records may be used as evidence of communications, orders, payments, and transactions between the Customer and the Company.

Customers may request access to relevant archived information by contacting support@calyzia.com, subject to applicable legal requirements and reasonable verification procedures.

Article 15 – SEVERABILITY AND MODIFICATION OF THE TERMS

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision shall be deemed severable and shall not affect the validity of the remaining provisions.

Any failure by the Company to enforce any provision of these Terms on one or more occasions shall not constitute a waiver of that provision or create any rights for the Customer.

The Company reserves the right to modify these Terms at any time by publishing an updated version on the Website.

The Terms applicable to an order are those in effect at the time the order is placed, unless otherwise required by applicable law.

Article 16 – GOVERNING LAW AND DISPUTE RESOLUTION

These Terms are subject to applicable law.

Where mandatory consumer protection laws provide specific rights to Customers based on their country of residence, nothing in these Terms is intended to deprive Customers of those rights.

In the event of any issue or dispute, Customers are encouraged to first contact Customer Service at support@calyzia.com so that the Company can attempt to find an amicable solution.

If the matter cannot be resolved directly with Customer Service, the Customer may use any applicable consumer dispute-resolution or mediation mechanism available in their country of residence, where applicable.

Customers may also have the right to bring a claim before the courts having jurisdiction under applicable law.
